1. About Us and These Terms
ctrl.alt.elite is a trading name of Ctrl Alt Elite Studio Ltd, a company registered in England and Wales under company number 17140083. Our registered office is 33 Birch Grove, Cwmbran NP44 6EP. You can contact us at contact@ctrl-alt-elite.uk.
These terms govern your use of ctrl-alt-elite.uk and any project or ongoing services you engage us for. By using the site or engaging our services, you agree to these terms. If you do not agree, please do not use the site or our services.
2. Use of the Website
You may use this website for lawful purposes only. You agree not to:
- Attempt to gain unauthorised access to any part of the site or its infrastructure.
- Use automated tools to scrape or harvest content without our prior written consent.
- Transmit harmful, offensive, or unlawful content via any form or communication channel on this site.
3. Our Services
We are an independent design and development studio. We offer branding, websites, web and mobile applications, AI integrations, and related digital services, along with optional ongoing support, hosting, and maintenance. Every engagement starts with an enquiry: we discuss what you need and send you a written proposal setting out the scope, deliverables, timescales, and price. Work begins once you accept that proposal.
The details of what is included are set out in the proposal we send you, which forms part of these terms once you proceed. We reserve the right to decline any enquiry at our discretion.
4. Starting a Project
After you accept a proposal, we agree a start date and begin work to the scope and timeline set out in it. Where a project runs in stages, we will tell you what we need from you at each stage to keep things moving, and we may share work in progress for your review and feedback.
Any ongoing support, hosting, maintenance, or retainer arrangement runs alongside or after the project, as described in your proposal.
5. Billing and Payment
- Project fees are billed as set out in your proposal - typically a deposit to begin and the balance on completion or at agreed milestones. Prices are in GBP and include VAT where applicable.
- Ongoing support, hosting, maintenance, or retainers are billed on a recurring basis (usually monthly) in advance. We only set up a recurring payment once you have approved it and authorised your card, and you can cancel it at any time (see section 6).
- Payments are taken via our payment processor, Stripe. You are responsible for keeping your payment method up to date.
- We may change the price of any ongoing service from time to time. We will give you at least 30 days' notice of any increase by email, and you may cancel before the new price takes effect.
6. Cancelling Ongoing Services
There is no fixed term on our ongoing support, hosting, maintenance, or retainer services. You can cancel at any time by emailing contact@ctrl-alt-elite.uk or via your client portal. Cancellation takes effect at the end of your current billing period and you will not be charged again after that.
One-off project work is governed by the proposal you accepted. If you ask us to stop a project that is already underway, you agree to pay for the work carried out up to that point.
When an ongoing arrangement ends, we hand over your domain and the content you have given us cleanly. Any hosting we provide, the design and code of the site or app, and any bespoke components remain our property unless your proposal says otherwise (see section 8).
7. Consumer Cancellation Rights
If you are a consumer (an individual buying outside the course of your business), you have a 14-day right to cancel a distance contract with us under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, starting from the day we confirm your engagement.
Because we often begin work quickly, you may expressly ask us to start before the 14-day period has ended. If you do and you then cancel within the 14 days, you agree to pay a proportionate amount for the work already carried out (for example, design and build hours up to the point of cancellation).
To exercise your right to cancel, email contact@ctrl-alt-elite.uk with your name and engagement details before the 14 days are up. Business customers do not have this statutory cancellation right, but may cancel ongoing services under section 6.
8. What You Own, What We License
Your domain and content. Your domain is registered in your name. Any text, images, logos or other content you provide, or that we write with you for your business, is yours.
The site or app itself. Unless your proposal says otherwise, the design, code, hosting configuration, and any templates or components we use to build your site or app are licensed to you for as long as we host or maintain it for you. They remain our intellectual property. If an ongoing hosting arrangement ends, the live site we host is taken down; the domain and content are handed over so you can rebuild or take them elsewhere.
Bespoke Studio work. For Studio engagements, intellectual property ownership of deliverables is agreed in the engagement contract.
9. Late Payment and Suspension
If a payment fails, we will retry automatically and let you know by email. If the account remains unpaid 14 days after the due date, we may suspend the site and pause further work until the account is brought up to date.
If an account is unpaid for 60 days we may terminate the engagement or ongoing service. At that point we follow the handover process in section 6.
10. Your Responsibilities
- Provide content and feedback in reasonable time so we can deliver the site.
- Ensure anything you send us (text, images, logos) is yours to use or properly licensed, and is not unlawful, infringing, or defamatory.
- Use the site and portal lawfully and not to host illegal, harmful, or abusive content.
- Keep your login credentials secure.
11. Intellectual Property in This Website
All content on ctrl-alt-elite.uk - including text, images, case studies, logos, and design - is the property of ctrl.alt.elite or its licensors and is protected by copyright. You may not reproduce or distribute it without our express written permission.
12. Limitation of Liability
To the fullest extent permitted by law, ctrl.alt.elite shall not be liable for:
- Indirect, incidental, or consequential losses arising from use of this website or our services.
- Loss of data, revenue, or business opportunity not covered by a signed engagement agreement.
- Short interruptions to website availability (for example routine maintenance or third-party outages).
Our total liability for any claim relating to your project or ongoing services is limited to the amount you have paid us in the 12 months before the claim arose. Nothing in these terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law, or any rights you have as a consumer that cannot be excluded.
13. Changes to These Terms
We may update these terms from time to time. If a change materially affects existing clients we will notify you by email at least 30 days before the change takes effect, and you may cancel any ongoing services before it does.
14. Governing Law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer resident in Scotland or Northern Ireland, you may bring proceedings in your local courts.
